  6. Market or Industry Downturn: An economic downturn or specific industry decline occurs over at least two consecutive quarters that impacts the client's business performance.
  7. Misrepresentation: The client has made incorrect assumptions or misrepresented facts to GBS or affiliates, whether knowingly or innocently.
  8. Under-Commitment: The client does not invest the necessary time or resources to complete required work.
  9. Personnel Availability: Key personnel are absent due to vacation, illness, emergencies, or other reasons and do not execute strategies within the agreed timeframe.
  10. Competitive Landscape Changes: A competitor makes an unexpected move that significantly alters the industry landscape.
  11. Technological Changes: New technologies emerge suddenly, or existing technologies that the plan relied upon fail.
  12. Client's Key Customer Loss: Significant desertion of key clients affecting the client's ability to meet goals.
  13. Material Changes Notification: The client fails to notify GBS, or their affiliates, within 48 hours of any situations that could materially affect the agreed implementation plan's success.

Additional Terms and Conditions

  1. Modifications: Any modifications to the agreed goals or implementation plans must be mutually agreed upon in writing.
  2. Documentation: The client must maintain accurate and complete records of all relevant communications and actions taken regarding the implementation.
  3. Confidentiality: Both parties agree to maintain confidentiality regarding each other's proprietary information, except as required by law.
  4. Dispute Resolution: In the event of disputes regarding the guarantee or its terms, both parties agree first to seek resolution through negotiation or mediation before pursuing litigation.
  5. No Waiver: The failure of GBS to enforce any provision of these terms shall not be deemed a waiver of its right to enforce that provision or any other provision in the future.
